Terms of Service

These Terms of Service govern your use of OpusMeet Messenger, OpusMeet Business, and all related services. By using OpusMeet, you agree to these terms.

1. Acceptance of Terms

By creating an account, accessing, or using any OpusMeet product or service (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

These Terms constitute a legally binding agreement between you and Silicon Visions (“OpusMeet,” “we,” “us,” or “our”). You must be at least 13 years old (or the minimum age required in your country) to use our Services.

2. Our Services

OpusMeet provides the following services:

  • OpusMeet Messenger: End-to-end encrypted messaging, voice and video calling, status updates, and media sharing. Available on iOS, Android, and Web (web.opusmeet.com).
  • OpusMeet Business: Enterprise video conferencing with AI-powered summaries, live transcription, screen sharing, meeting recordings, team channels, and analytics.
  • Linked Devices: The ability to use your account across multiple devices via QR code authentication.
  • Aria AI: AI-powered meeting assistant for summaries, action items, and Q&A (Business only).

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify you of significant changes.

3. Account Registration

  • Messenger Accounts: You must provide a valid phone number to create a Messenger account. Your phone number is verified via one-time password (OTP) sent via SMS.
  • Business Accounts: You may register with an email address and password, or through supported OAuth providers.
  • Account Security: You are responsible for maintaining the security of your account credentials, device sessions, and linked devices. You must immediately notify us if you suspect unauthorized access to your account.
  • Accurate Information: You agree to provide accurate, current, and complete information during registration and to keep it updated.
  • One Account Per Number: Each phone number can only be associated with one Messenger account.

4. Acceptable Use

You agree to use OpusMeet only for lawful purposes. You must not:

  • Use our Services for any illegal, harmful, or fraudulent activities
  • Send spam, bulk messages, or unsolicited communications
  • Impersonate another person or entity
  • Distribute malware, viruses, or any harmful software
  • Attempt to gain unauthorized access to our Services, systems, or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use automated systems (bots, scrapers, etc.) to access our Services without permission
  • Harass, threaten, intimidate, or bully other users
  • Share content that is illegal, abusive, defamatory, obscene, or otherwise objectionable
  • Violate any applicable local, national, or international law
  • Interfere with or disrupt the integrity or performance of our Services

5. Content & Intellectual Property

5.1 Your Content

You retain ownership of the content you create and share through OpusMeet (messages, photos, videos, status updates, etc.). By using our Services, you grant us a limited, non-exclusive license to transmit and deliver your content to its intended recipients.

For end-to-end encrypted messages, we cannot access the content and this license applies only to the technical facilitation of delivery.

5.2 Our Intellectual Property

OpusMeet, its logos, design, features, and all related intellectual property are owned by Silicon Visions. You may not use our trademarks, logos, or branding without prior written consent. All rights not expressly granted are reserved.

5.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use them without restriction or compensation.

6. Privacy

Your privacy is critically important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using our Services, you also agree to our Privacy Policy.

7. Calls & Communication

  • Voice & Video Calls: OpusMeet enables voice and video calling through WebRTC technology. Call quality depends on your internet connection and device capabilities.
  • Meeting Recordings (Business): If you use the recording feature in OpusMeet Business, you are responsible for complying with all applicable laws regarding recording consent. We recommend notifying all participants before recording begins.
  • Emergency Services: OpusMeet is not a replacement for your traditional phone service and cannot be used to contact emergency services (e.g., 911, 112). Always use your mobile phone or landline for emergencies.

8. Third-Party Services

Our Services may integrate with or contain links to third-party services, including:

  • Cloud storage providers (AWS S3) for file uploads and recordings
  • Authentication providers (Supabase, Twilio) for account security
  • Business integrations (Slack, Salesforce, HubSpot, Notion)

These third-party services are governed by their own terms and privacy policies. We are not responsible for their practices, content, or availability.

9. Termination

  • By You: You may delete your account at any time through the app settings. Account deletion is permanent and will remove your profile, messages, and associated data.
  • By Us: We reserve the right to suspend or terminate your account if you violate these Terms, engage in prohibited activities, or if required by law. We will provide notice when reasonably possible.
  • Effect of Termination: Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

10. Disclaimers

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that our Services will be uninterrupted, error-free, or secure at all times. We do not guarantee the accuracy or reliability of any content transmitted through our Services.

To the maximum extent permitted by applicable law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SILICON VISIONS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of or inability to use our Services, regardless of the cause of action or theory of liability.

Our total cumulative liability to you for all claims arising from or related to these Terms or our Services shall not exceed the greater of (a) the amount you have paid us in the 12 months prior to the event giving rise to the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Silicon Visions, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Dispute Resolution

  • Informal Resolution: Before filing any claim, you agree to contact us at legal@opusmeet.com and attempt to resolve the dispute informally for at least 30 days.
  • Arbitration: If informal resolution is unsuccessful, any dispute arising from these Terms shall be resolved by binding arbitration, except where prohibited by law. Class action lawsuits, class arbitrations, and representative actions are not permitted.
  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the app or by other appropriate means at least 30 days before the changes take effect. Your continued use of OpusMeet after the updated Terms become effective constitutes acceptance of the new Terms.

If you do not agree to the updated Terms, you must stop using our Services and delete your account.

15. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpusMeet regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • No Third-Party Beneficiaries: These Terms do not create any rights for any third party.
